
API TERMS AND CONDITIONS

These API Terms and Conditions (“API Terms”) govern access to and use of the application programming interfaces (“API”) made available by CarrierNet Limited / DualNet Limited (together “CarrierNet”, “DualNet”, “we”, “us”, “our”).
These API Terms form part of, and are incorporated into, the Master SaaS Agreement, Subscription Agreement, or Terms of Service (the “SaaS Agreement”) entered into between you and us.
By creating an API user, generating API credentials, or using the API, you (“Customer”, “you”) agree to be bound by these API Terms.

1. API Access & API Users
1.1 API access is provided on a non-exclusive, non-transferable, revocable basis.
1.2 Customers may create one or more API Users within their account.
1.3 Each API User:

Acts solely on behalf of the Customer
-
Is treated as an authorised user under the SaaS Agreement
1.4 You are fully responsible for:
-
All API Users created under your account
-
All actions performed using your API credentials
-
Secure storage and rotation of API keys and tokens
1.5 We accept no liability for unauthorised access arising from your failure to protect API credentials.

2. Permitted API Use
The API may be used only to:

Import consignment, pallet, order, or operational data
-
Export data owned or controlled by the Customer
-
Perform authorised data enquiries
-
Integrate Customer systems with CarrierNet / DualNet services
All usage must comply with:
-
Published API documentation
-
Rate limits and technical constraints
-
Applicable law and regulation

3. Prohibited Use
You must not, directly or indirectly:

Access or attempt to access data belonging to another customer
-
Bypass authentication, authorisation, or rate-limiting mechanisms
-
Submit malformed, malicious, or excessive requests
-
Introduce malware, automated attacks, or denial-of-service behaviour
-
Reverse engineer, scrape, or misuse API responses
-
Use the API in a manner that risks:
-
Data corruption
-
Platform instability
-
Service degradation for other customers
-
We may immediately suspend or revoke API access where misuse is suspected.

4. Customer Data Responsibility
4.1 The Customer is solely responsible for:

Validating API requests before submission
-
Ensuring correctness and completeness of imported data
-
Maintaining independent backups of all data
4.2 You acknowledge that:
-
API operations may overwrite or modify existing data
-
Incorrect or repeated API calls may cause irreversible data loss
4.3 CarrierNet / DualNet shall not be liable for data loss arising from:
-
Incorrect API usage
-
Misconfigured integrations
-
Customer-side system failures

5. Rate Limits & Fair Usage
5.1 API usage may be subject to:

Request limits
-
Throughput caps
-
Throttling
-
Fair usage controls
5.2 Limits may be adjusted without prior notice to protect platform integrity.
5.3 Excessive or abusive usage may result in:
-
Throttling
-
Temporary suspension
-
Permanent revocation of API access

6. Availability & Changes
6.1 The API is provided on an “as-is” and “as-available” basis.
6.2 We do not guarantee:
-
Continuous availability
-
Backward compatibility
-
Error-free operation
6.3 We may:
-
Modify, deprecate, or replace API endpoints
-
Introduce versioned APIs
Reasonable efforts will be made to notify customers of breaking changes.

7. Security & Monitoring
7.1 We may monitor API usage to:
-
Detect misuse
-
Enforce rate limits
-
Maintain platform security
7.2 Monitoring may include logging of request metadata, timestamps, and IP addresses.

8. Suspension & Termination
API access may be suspended or terminated immediately if:
-
These API Terms are breached
-
Security or data integrity is at risk
-
Required by law or regulatory authorities
Suspension does not limit any other rights under the SaaS Agreement.

9. Disclaimer of Warranties
To the maximum extent permitted by law, the API is provided without warranties, express or implied, including warranties of accuracy, availability, or fitness for purpose.

10. Limitation of Liability
10.1 CarrierNet / DualNet shall not be liable for:

Loss or corruption of data
-
Loss of profits, revenue, or business
-
Indirect or consequential damages
10.2 Total liability relating to API usage shall be limited to the fees paid by the Customer under the SaaS Agreement in the preceding 12 months, or €[X], whichever is lower.

11. Indemnity
The Customer shall indemnify and hold harmless CarrierNet / DualNet against all claims, losses, and damages arising from:

API misuse
-
Customer data
-
Breach of these API Terms
-
Violation of law or third-party rights

12. Data Protection (EU / Ireland)
12.1 Each party shall comply with:
-
GDPR
-
Irish Data Protection Act 2018
-
Applicable EU data protection laws
12.2 Where personal data is processed via the API, the Data Processing Agreement under the SaaS Agreement applies.

13. Governing Law & Jurisdiction
These API Terms are governed by the laws of Ireland, and the courts of Ireland shall have exclusive jurisdiction.
